Terms of Service

These terms govern the use of KarachiSol's IT services and solutions. By engaging our services, you agree to these terms and conditions.

Agreement Overview

Welcome to KarachiSol! These Terms of Service ("Terms") constitute a legal agreement between you or your organization ("Client") and KarachiSol ("Company", "we", "us", or "our") regarding the use of our information technology services and solutions.

By engaging our services, requesting a quote, or signing a service agreement, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with any part of these Terms, please do not use our services.

These Terms supplement and work alongside individual service agreements, statements of work, and other contractual documents that may govern specific projects or ongoing service relationships.

Our Services

  • Cloud solutions including migration, management, and optimization services
  • Cybersecurity services including threat detection, vulnerability assessment, and compliance
  • Custom software development for web applications, mobile apps, and enterprise solutions
  • IT consulting services for strategy, digital transformation, and technology planning
  • Technical support and maintenance services with defined service level agreements

Payment Terms

  • Project fees are outlined in individual service agreements or proposals
  • Payment schedules vary by project size: milestone-based for large projects, upfront for smaller services
  • Monthly recurring fees for ongoing services are due on the 1st of each month
  • Late payment fee of 1.5% per month applies to overdue invoices after 30 days
  • We reserve the right to suspend services for non-payment after 60 days
  • All fees are in Pakistani Rupees (PKR) unless otherwise specified

Intellectual Property

  • Custom software and solutions developed for clients belong to the client upon full payment
  • KarachiSol retains rights to general methodologies, frameworks, and pre-existing IP
  • Third-party software licenses and tools are governed by their respective terms
  • Clients grant us necessary rights to use their data and systems for service delivery
  • Neither party may use the other's trademarks without explicit written permission
  • Confidential information is protected under separate Non-Disclosure Agreements (NDAs)

Service Level Commitments

  • 99.9% uptime guarantee for managed cloud services (excluding scheduled maintenance)
  • 24-hour response time for critical issues and emergency support requests
  • 4-hour response time for high-priority issues during business hours
  • Business hours support: 9 AM to 6 PM PKT, Monday through Friday
  • Scheduled maintenance windows communicated 48 hours in advance
  • Service credits provided for uptime failures below guaranteed levels

Limitation of Liability

  • Our total liability is limited to the fees paid for services in the preceding 12 months
  • We are not liable for indirect, incidental, or consequential damages
  • Clients are responsible for data backups and business continuity planning
  • Force majeure events (natural disasters, government actions) excuse performance delays
  • Some jurisdictions may not allow liability limitations; local laws may apply
  • Professional liability insurance covers our services up to specified limits

Termination

  • Either party may terminate ongoing services with 30 days written notice
  • Immediate termination allowed for material breach after 15-day cure period
  • Upon termination, clients receive all deliverables and data in usable format
  • Outstanding invoices remain due after termination
  • Confidentiality obligations survive termination indefinitely
  • Return or destruction of confidential information upon request

Modifications

We reserve the right to modify these Terms at any time. Changes will be effective 30 days after posting on our website.

Significant changes will be communicated directly to active clients via email.

Continued use of our services after changes constitutes acceptance of modified Terms.

Governing Law

These Terms are governed by the laws of Pakistan, specifically Sindh Province.

Disputes will be resolved through arbitration in Karachi, Pakistan, unless otherwise agreed in writing.

Both parties consent to the jurisdiction of Karachi courts for enforcement of arbitration awards.
